RJS Solicitors advises on Property Partnership Incorporation

RJS has advised a large residential property partnership on the refinancing and incorporation of its multi-million-pound portfolio. Jennifer Kelly and Emma Faunch acted.

Jennifer Kelly, the Head of the RJS Corporate Team, comments,

“As we have previously seen the challenges of financing and completing transactions such as this continue to remain challenging. However, with the co-operation of the funders and their advisors, we were able to transfer a significant residential property partnership into a company structure without paying stamp duty or capital gains tax. This allows the clients to grow their portfolio through a corporate structure, which has a significant lower tax rate.”

Esther Hancock, DPC Tax Director who provided tax advice on the transaction, comments,

“Tax planning of this type requires a specific set of circumstances, and every case is not the same. Bespoke planning is required for each client. However, with careful consideration of the facts and review of the appropriate tax legislation we are able to achieve some attractive tax savings for clients as we have done in this case. “
